These Terms of Service ("Terms") constitute a legally binding agreement between you and Unify, governing your entitlement to utilize the websites, applications, and additional offerings provided by Unify (collectively referred to as the "Unify Platforms"). In these Terms, the terms "Unify," "we," "us," or "our" denote the Unify entity outlined in Schedule 1, with whom you are entering into an agreement.

The Unify Platform functions as an online platform that empowers users ("Members") to publish, offer, search for, and acquire Products & Services. Members engaged in publishing and offering Products & Services are termed "Sellers," while those searching for, booking, or using Products & Services are referred to as "Buyers." Sellers present a range of offerings, including activities, excursions, and events ("Experiences"), as well as various other Products & Services collectively identified as "Sellers Products & Services." Each individual offering is termed a "Listing." Account registration is required to access and utilize numerous features of the Unify Platform, and it is imperative to maintain accurate account information. Unify, as the provider of the Unify Platform, does not possess, control, offer, or manage any Listings or Sellers Products & Services. Unify is not a party to contracts directly entered into between Sellers and Buyers, and it does not function as a broker, travel agency, or insurer. Unify does not act as an agent for any Member, except as specified in the Payments Terms of Service ("Payment Terms"). For additional insights into Unify's role, please refer to Section 16.

We uphold supplementary terms and policies that complement these Terms, such as our Privacy Policy, detailing the collection and utilization of personal data, and our Payments Terms, governing payment services provided to Members by Unify payment entities and third-party payment entities integrated by Unify into the Unify Platform.

If you assume the role of a Seller, it is your responsibility to understand and adhere to all applicable laws, rules, regulations, and contracts with third parties related to your Seller Products & Services.

​

Please be aware that these Terms of Service include an arbitration clause and class action waiver, pertinent to users in North America. By accepting these terms, you agree to exclusively resolve any disputes with Unify through binding individual arbitration, with only limited exceptions. This implies a waiver of the right to litigate in court, undergo a trial by jury, or participate in a class or representative action. Kindly review this Section attentively, as it impacts your rights.

This agreement outlines your privileges and obligations in connection with your usage of unify.pw, myunify.org, Pattern by Unify, our mobile applications, and additional services offered by Unify (referred to collectively as "Services"). Hence, it is essential to thoroughly read and comprehend this document. By engaging with any of our Services, including the mere browsing of our websites or apps, you are indicating your acceptance of these Terms. If you do not concur with the Terms, you are not permitted to use our Services.

Buyer Terms

​

1. Our Mission.

​

At Unify, our mission is to empower individuals through the transformative power of shared passion and experiences, fostering a vibrant community that transcends boundaries. Unify serves as a dynamic platform where individuals from all walks of life can come together to connect, collaborate, and create, driven by their shared passion for various pursuits. Whether it be in the realms of art, technology, sports, or any other area, we strive to build a space that encourages the exploration and expression of diverse talents.

 

2. Searching and Buying on Unify.

2.1 Search Functionality. You can explore Seller Products & Services by employing various criteria, such as the type of Seller Service, travel destination, travel dates, and the number of Buyers. Additionally, you have the option to utilize filters to refine your search outcomes. The relevance of search results is determined by factors like location, availability, popularity, listing age, saved Listings, Seller requirements, and more. For further insights into search results, refer to our Help Center.

2.2 Booking Process. When you choose to book a Listing, you commit to covering all expenses associated with your booking, encompassing the Listing price, relevant fees such as Unify’s service fee, offline fees, taxes, and any other items specified during checkout (collectively referred to as the "Total Price"). By agreeing to these Terms, you acknowledge that Unify, through Unify Payments, may charge the Payment Method (as defined in the Payment Terms) used for booking the Listing. Upon receipt of the booking confirmation, a contractual agreement for Seller Products & Services (termed a "Reservation, Purchase, or Subscription") is established directly between you and the Seller. In addition to these Terms, you are obligated to adhere to all terms outlined in the Reservation, Purchase, or Subscription, including, but not limited to, the cancellation policy and any other rules, standards, policies, or requirements specified in the Listing or during checkout that pertain to the Reservation, Purchase, or Subscription. It is your responsibility to thoroughly review and comprehend these regulations, standards, policies, and requirements before finalizing a booking. Please note that certain Sellers may collaborate with a co-Seller or function as part of a team to deliver their Seller Products & Services.

2.3 Reservations, Purchases, or Subscriptions for Experiences and Seller Products & Services. A Reservation, Purchase, or Subscription for an Experience or another Seller Service grants you the right to participate in, attend, or use that specific Seller Service. It is your responsibility to ensure that both you and any invited individuals meet the minimum age, proficiency, fitness, or other requirements specified. Additionally, you are required to inform the Seller of any medical or physical conditions or other circumstances that may affect your ability to engage in, attend, or use the Seller Service. Unless expressly authorized, you may not permit any person to join a Seller Service unless they are included as an additional Buyer during the booking process.

3. Cancellations, Travel Challenges, Refunds, and Changes to Bookings.

​

3.1 Cancellations, Travel Challenges, and Refunds. Generally, if you, as a Buyer, decide to cancel a Reservation, Purchase, or Subscription, the refund amount is determined by the applicable cancellation policy for that specific Reservation, Purchase, or Subscription. However, under certain circumstances, other policies may take precedence and dictate the refunded amount. Should circumstances beyond your control necessitate the cancellation of a Reservation, Purchase, or Subscription, you may qualify for a partial or full refund under our Extenuating Circumstances Policy. In the event of a Seller-initiated cancellation or if you encounter a Travel Issue (as defined in our Rebooking and Refund Policy), you may be eligible for rebooking assistance or a partial or full refund according to the Rebooking and Refund Policy. Specific policies are applicable to distinct categories of Listings; for instance, Experiences Reservations, Purchases, or Subscriptions are subject to the Experiences Buyer Refund Policy, while Luxe Reservations, Purchases, or Subscriptions follow the Rebooking and Refund Policy. Please refer to each Additional Legal Term or Policy for precise details on coverage and applicable refund criteria in each scenario.

3.2 Changes to Bookings. Both Buyers and Sellers are accountable for any agreed-upon modifications to bookings facilitated through the Unify Platform or requested directly from Unify customer service ("Booking Modifications"). In such cases, parties also agree to cover any additional amounts, fees, or taxes associated with these Booking Modifications.

4. Your Responsibilities and Assumption of Risks.

​

4.1 Responsibilities. You bear responsibility and accountability for your own actions and omissions, as well as for the actions and omissions of anyone you invite to join or grant access to any Accommodation, Experience, or other Seller Service. Specifically, this entails: (i) ensuring the condition of an Accommodation (and associated personal property) is maintained as it was upon your arrival, (ii) covering all reasonable amounts for Damage Claims necessary to address damage caused by you, your Buyers, or your pets to an Accommodation, and (iii) conducting yourself with integrity, showing respect to others, and adhering to applicable laws at all times. If you are making a reservation for an additional Buyer who is a minor or if you bring a minor to a Seller Service, you must have legal authorization to act on behalf of the minor, and you are solely responsible for supervising that minor.

4.2 Assumption of Risk. You acknowledge that numerous activities inherently involve risks, and you agree that, to the maximum extent permitted by applicable law, you accept the entire risk associated with accessing and using the Unify Platforms and any Content (as defined in Section 10). This encompasses your stay at any Accommodation, participation in any Experience, utilization of any other Seller Service, or any interactions with other Members, whether in person or online. Consequently, it is your duty to thoroughly investigate a Seller Service to ascertain its suitability for you. For instance, Seller Products & Services may involve risks such as illness, bodily injury, disability, or death, and you voluntarily and willfully assume these risks by choosing to engage in those Seller Products & Services.

Seller Terms

​

5. Listing on Unify.

​

5.1. Early Adopters. Early adopters invited to open account by Unify agents will receive a web-link for signing up to list your business on Unify. By signing up through the link, you authorize Unify and Unify agents to open a Unify account on your behalf. We may use publicly available information, such as your websites, social media, and contents and information you made publicly available on those sites. Upon creating account, we will give you access to your account by email the log-in credentials and you may modify the account as you see fit.

5.2 Seller Role. As a Seller, Unify grants you the privilege to utilize the Unify Platform to showcase your Listing, Experience, or other Seller Products & Service to our dynamic community of Buyers, allowing you to earn income effortlessly. Creating a Listing is a straightforward process, and you have full control over your selling parameters – from setting your price and availability to establishing rules for each Listing.

5.3 Agreement with Buyers. Upon accepting a booking or subscription request or receiving a booking or subscription confirmation via the Unify Platform, you are entering into a direct contract with the Buyer. You assume responsibility for delivering your Seller Products & Service as per the terms and at the price specified in your Listing. Additionally, you agree to pay applicable fees, such as Unify’s Products & Service fee (along with applicable taxes), for each sale, booking, or subscription. Unify Payments will deduct the amounts owed from your payout, unless an alternative arrangement is agreed upon between us. Any terms, policies, or conditions included in any supplementary contract with Buyers must: (i) align with these Terms, our Additional Legal Terms, Policies, and the information outlined in your Listing, and (ii) be prominently disclosed in your Listing description.

5.4 Independence of Sellers. Your association with Unify is that of an independent individual or entity and not that of an employee, agent, joint venturer, or partner of Unify, with the exception of Unify Payments acting as a payment collection agent, as outlined in the Payments Terms. Unify does not exert control over your Seller Products & Service, and you acknowledge that you have the complete discretion to determine whether and when to provide Seller Products & Services, as well as the freedom to decide the price and terms for offering them.

5.5. Prohibited contents. Unify is a marketplace of local services. Services and subscriptions listed on Unify must be fulfilled in-person. Sellers are not permitted to create listings, paywalls and paid contents or exclusive privileges that could be consumed on digital platforms. These includes paid videos and pictures. Sellers are not permitted to list any illegal services or services that may pose significant harms to customers.

6. Managing Your Listing.

​

6.1 Creation and Management of Your Listing. The Unify Platform provides user-friendly tools for you to effortlessly set up and oversee your Listing. Your Listing must encompass comprehensive and accurate information about your Seller Products & Service, including pricing, along with any rules or requirements applicable to your Buyers or Listing. It is your responsibility to maintain the accuracy and currency of your Listing information (including calendar availability) and content (such as photos) at all times. We recommend obtaining appropriate insurance for your Seller Products & Services, and advise a careful review of policy terms and conditions, including coverage details and exclusions. Each Product may only have one associated Listing.

6.2 Awareness of Legal Obligations. You are accountable for understanding and adhering to any laws, rules, regulations, and contracts with third parties relevant to your Listing or Seller Products & Services. For instance, certain jurisdictions may necessitate Sellers to register, obtain permits or licenses before offering specific Seller Products & Services (e.g., preparing food, serving alcohol for sale, guiding tours, or operating a vehicle). Some Seller Products & Services may be prohibited altogether in certain locations. Additionally, you may be required to register Buyers in certain jurisdictions. Verify local rules to determine the applicable regulations for the Seller Products & Services you intend to offer. Information we provide regarding legal requirements is for informational purposes only, and independent confirmation of your obligations is advised. You must handle and use personal data of Buyers and others in compliance with applicable privacy laws and these Terms, including our Seller Privacy Standards. Seek legal advice if you have questions about the application of local laws.

6.3 Search Ranking. The positioning of Listings in search results on the Unify Platform is influenced by various factors, including Buyer search parameters, Listing characteristics, and Buyer preferences. Search results may differ between our mobile application and website. Unify may permit Sellers to enhance the visibility of their Listings in search results or elsewhere on the Unify Platform through an additional fee. Further details on the factors influencing your Listing's appearance in search results, ongoing promotional programs (if any), and the identification of promoted Content can be found in our Help Center.

6.4 Your Responsibilities. You are personally accountable for your actions and omissions, as well as those of anyone involved in providing your Seller Products & Services. This encompasses setting your price and establishing rules and requirements for your Listing. All fees and charges must be transparently described in your Listing description, and no additional fees or charges can be collected outside the Unify Platform. Do not encourage Buyers to create third-party accounts, submit reviews, provide contact information, or take actions outside the Unify Platform, violating our Off-Platform Policy.

6.5 Selling as a Team or Organization. If you collaborate with a co-Seller, Seller team, business, or other organization, both the entity and each participating individual are collectively responsible and liable as Sellers under these Terms. Representations and warranties about contract acceptance and authorization apply if you accept terms or enter into contracts. If you instruct Unify to transfer payouts to a co-Seller or other Sellers, you must be authorized to do so and assume responsibility and liability for the accuracy of payout information.

​

6.6 Assumption of Risk. Recognizing that Selling entails inherent risks, you agree to assume the entire risk arising from your access to and use of the Unify Platform, providing Seller Products & Services, or any interactions with other Members, whether in person or online. You confirm that you've had the opportunity to investigate the Unify Platform and any relevant laws, rules, regulations, or obligations pertaining to your Listings or Seller Products & Services, and that you are not relying on any legal statements made by Unify.

​

7. Cancellations and Booking or Subscription Modifications.

​

7.1 Cancellations and Travel Issues. Typically, if a Buyer cancels a Reservation, Purchase, or Subscription, the amount remitted to you is determined by the applicable cancellation policy for that specific Reservation, Purchase, or Subscription. As a Seller, you should refrain from canceling on a Buyer unless a valid reason is established under our Extenuating Circumstances Policy or relevant law. Unauthorized cancellations may result in the imposition of a cancellation fee and other consequences. In situations where: (i) a Buyer encounters a Travel Issue (as defined in the Rebooking or Subscription and Refund Policy), (ii) an Extenuating Circumstance arises, or (iii) a Reservation, Purchase, or Subscription is canceled under Section 13 of these Terms, the amount you receive will be diminished by the amount refunded or otherwise provided to the Buyer, along with any reasonable costs incurred by Unify due to the cancellation. If a Buyer receives a refund subsequent to your payout or if Unify's incurred costs surpass your payout, Unify (via Unify Payments) may recoup that amount from you, including offsetting the refund against your future payouts. You acknowledge that Unify's Rebooking or Subscription and Refund Policy, Extenuating Circumstances Policy, and these Terms supersede the cancellation policy you set, particularly in instances where they permit the cancellation of a Reservation, Purchase, or Subscription and/or the issuance of refunds to Buyers. If we anticipate providing a refund to a Buyer under these policies, we may defer the release of any payout for that Reservation, Purchase, or Subscription until a refund decision is reached. Refer to each Policy for specific coverage details and the payout implications in each scenario.

7.2 Booking or Subscription Modifications. Sellers and Buyers bear responsibility for any Booking or Subscription Modifications they mutually agree upon through the Unify Platform or instruct Unify customer Products & Service to make on their behalf. Additionally, both parties agree to cover any supplementary amounts, fees, or taxes associated with a Booking or Subscription Modification.

8. Taxes.

​

8.1 Sales Taxes. As a Seller, you bear the responsibility of identifying and fulfilling your obligations under applicable laws regarding the reporting, collection, remittance, or inclusion in your price of any relevant VAT or other indirect taxes, occupancy taxes, tourist taxes, income taxes, or other taxes ("Taxes").

​

8.2 Collection and Remittance by Unify. In jurisdictions where Unify facilitates the collection and/or remittance of Taxes on behalf of Sellers, you authorize and instruct Unify to collect Taxes on your behalf and/or remit such Taxes to the pertinent tax authority. Any Taxes collected and/or remitted by Unify are clearly indicated to Members in their transaction records as applicable. Should the collected and/or remitted Taxes prove insufficient to fully satisfy a Member's tax obligations, Unify may seek additional amounts from Members (including deduction from future payouts), and you agree that your exclusive recourse for Taxes collected by Unify is a refund from the relevant Tax authority. You acknowledge and agree that, with prior notice to affected Members, we reserve the right to discontinue the collection and remittance of Taxes in any jurisdiction for any reason.

8.3 Tax Information. In specific jurisdictions, tax regulations may necessitate the collection and/or reporting of tax information about you or the withholding of taxes from payouts to you, or both. Failure to provide sufficient documentation, as determined by us, to support any obligation to withhold taxes may result in withholding payouts up to the required amount by law until satisfactory documentation is furnished. You consent to Unify issuing invoices or similar documentation for VAT, GST, consumption taxes, or other Taxes on your behalf for your Seller Products & Services to facilitate accurate tax reporting by you, our Buyers, and/or their organizations.

General Terms

​

9. Reviews.

​

Following each Seller Products & Service, Buyers will have the opportunity to review the Seller. Your Review must be accurate and may not contain any discriminatory, offensive, defamatory, or other language that violates our Content Policy or Review Policy. Reviews are not verified by Unify for accuracy and may be incorrect or misleading.

​

10. Content.

​

Certain sections of the Unify Platform allow you to submit feedback, text, photos, audio, video, information, and other content (collectively, “Content”). By providing Content, in any form or through any means, you grant Unify a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable, and transferable license to copy, modify, prepare derivative works of, distribute, publish, and otherwise exploit that Content, without limitation. If Content includes personal information, our Privacy Policy describes how we use that personal information. In cases where Unify pays for the creation of Content or facilitates its creation, Unify may own that Content, with supplemental terms or disclosures indicating as such. You are solely responsible for all Content you provide and warrant that you either own it or are authorized to grant Unify the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with our Content Policy and Nondiscrimination Policy, which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content. You agree that Unify may provide Products & Services or automated tools to translate Content, and that your Content may be translated using such Products & Services or tools. Unify does not guarantee the accuracy or quality of translations, and Members are responsible for confirming the accuracy of such translations.

11. Fees.

​

Unify may impose fees (and applicable Taxes) on Sellers and Buyers for the use of the Unify Platform. More details about when Products & Service fees apply and how they are calculated can be found on our Products & Service Fees page. Unless stated otherwise on the Unify Platform, Products & Service fees are non-refundable. Unify reserves the right to modify Products & Service fees at any time and will notify Members of any fee changes before they take effect. Fee changes will not impact bookings or subscriptions made prior to the effective date of the fee change. If you disagree with a fee change, you may terminate this agreement at any time in accordance with Section 13.2.

12. Unify Platform Rules.

​

12.1 Rules.

​

You are required to adhere to the following rules and must not assist or induce others in breaking or circumventing these rules.

​

Act with integrity and treat others with respect:

​

 

  • Do not lie, misrepresent something or someone, or pretend to be someone else.

  • Maintain politeness and respect in your communication or interaction with others.

  • Adhere to our Nondiscrimination Policy and avoid discriminating against or harassing others.

​

Do not scrape, hack, reverse engineer, compromise, or impair the Unify Platform:

 

  • Avoid using bots, crawlers, scrapers, or other automated means to access or collect data from the Unify Platform.

  • Refrain from hacking, removing, impairing, or attempting to circumvent any security or technological measure protecting the Unify Platform or Content.

  • Do not decipher, decompile, disassemble, or reverse engineer any software or hardware used to provide the Unify Platform.

  • Abstain from taking actions that could damage or adversely affect the performance or proper functioning of the Unify Platform.

Only use the Unify Platform as authorized by these Terms or another agreement with us:

 

  • Use another Member's personal information only as necessary to facilitate a transaction using the Unify Platform as authorized by these Terms.

  • Refrain from using the Unify Platform, our messaging tools, or Members’ personal information to send commercial messages without the recipient’s express consent.

  • Utilize Content available through the Unify Platform solely as necessary to enable your use of the Unify Platform as a Buyer or Seller.

  • Do not use Content without permission from the owner or authorization from us in these Terms or another agreement.

  • Do not request, make, or accept a booking or subscription or any payment outside the Unify Platform to evade fees, taxes, or for any other reason. Refer to our Offline Platform Policy for exceptions.

  • Do not require or encourage Buyers to interact with a third-party website, application, or Products & Service before, during, or after a Reservation, Purchase, or Subscription unless authorized by Unify.

  • Refrain from engaging in practices intended to manipulate our search algorithm.

  • Only book Seller Products & Services when actually using them.

  • Do not use, copy, display, mirror, or frame the Unify Platform, any Content, any Unify branding, or any page layout or design without our consent.

Honor your legal obligations:

​

 

  • Understand and follow applicable laws, including privacy, data protection, and export laws.

  • If you provide someone else’s personal information to us, ensure compliance with applicable law and be authorized to do so.

  • Comply with our Terms, Additional Legal Terms, Policies, and Standards.

  • Do not organize or facilitate unauthorized services, parties, or events during your Reservation, Purchase, or Subscription.

  • Do not use the name, logo, branding, or trademarks of Unify or others without permission, following our Trademark Guidelines.

  • Do not use or register any domain name, social media handle, trade name, trademark, branding, logo, or other source identifier that may be confused with Unify branding.

  • Do not offer Seller Products & Services that violate applicable laws or agreements.

  • Do not offer or solicit prostitution or participate in or facilitate human trafficking.

Your Account with Unify:

​

 

  • You must be 18 years or older to use our Services. Minors under 18 and at least 13 years of age are only permitted to use our Services through an account owned by a parent or legal guardian with their appropriate permission and under their direct supervision. Children under 13 years are not permitted to use Unify or the Services.

  • Be honest with us, providing accurate information about yourself. Use of false information or impersonation is prohibited.

  • Choose an appropriate name for your account, avoiding offensive, vulgar, or infringing language.

  • You are responsible for all activities on your account. Keep your account password secure. If you share an account, the person whose financial information is on the account is ultimately responsible.

  • These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and Unify.

12.2 Reporting Violations.

​

If you believe that a Member, Listing, or Content poses an imminent risk of harm to a person or property, you should immediately contact local authorities before contacting Unify. Additionally, if you believe that a Member, Listing, or Content has violated Unify's Standards, you should report your concerns to Unify. If you reported an issue to local authorities, Unify may request a copy of that report. Except as required by law, you agree that Unify is not obligated to take action in response to any report.

12.3 Copyright Notifications.

​

If you believe that Content on the Unify Platform infringes copyrights, please notify Unify in accordance with the Copyright Policy.

​

13. Termination, Suspension, and other Measures.

​

13.1 Term.

​

The agreement between you and Unify, as reflected in these Terms, is effective when you access the Unify Platform (e.g., create an account) and remains in effect until either you or Unify terminates the agreement in accordance with these Terms.

​

13.2 Termination.

​

- You may terminate this agreement at any time by deleting your account.
- Unify may terminate this agreement and your account for any reason by giving you 30 days’ notice via email or using any other contact information you have provided. Unify may also terminate this agreement immediately and without notice if you breach these Terms, violate Additional Legal Terms or Policies, violate applicable laws, or if termination is reasonably necessary to protect Unify, its Members, or third parties. Inactive accounts for more than two years may be terminated without prior notice.

13.3 Member Violations.

​

If you breach these Terms, Additional Legal Terms, Policies, or Standards, violate applicable laws, regulations, or third-party rights, or Unify believes it is reasonably necessary to protect Unify, its Members, or third parties, Unify may, with or without notice:


- Suspend or limit your access to or use of the Unify Platform and/or your account.
- Suspend or remove Listings, Reviews, or other Content.
- Cancel pending or confirmed bookings or subscriptions.
- Suspend or revoke any special status associated with your account.

For minor violations or where otherwise appropriate, you may be given notice of any intended measure with an opportunity to resolve the issue. You may appeal actions taken by Unify under this Section.

​

13.4 Legal Mandates.

​

Unify may take any action it deems reasonably necessary to comply with applicable law or the order or request of a court, law enforcement, or other administrative agency or governmental body.

​

13.5 Effect of Termination.

If you terminate your Unify account as a Seller, any confirmed bookings or subscriptions will be automatically canceled. If you terminate your account as a Buyer, any confirmed bookings or subscriptions will be automatically canceled, and any refund will depend on the terms of the Reservation, Purchase, or Subscription’s cancellation policy. When this agreement is terminated, you are not entitled to a restoration of your account or any of your Content. If your access to or use of the Unify Platform has been limited, or your Unify account has been suspended, or this agreement has been terminated by Unify, you may not register a new account or access or use the Unify Platform through an account of another Member.

13.6 We May Discontinue the Services.

​

Unify reserves the right to change, suspend, or discontinue any of the Services for you or all users at any time, for any reason, as outlined in Unify’s policies under these Terms of Service. Unify will not be liable for any effect that changes to the Services may have on you, including your income or your ability to generate revenue through the Services.

​

13.7 Survival.

​

Parts of these Terms that, by their nature, survive termination will continue to be in effect after termination, including Sections 2 through 26.

​

14. Modification.

​

Unify reserves the right to modify these Terms at any time. When material changes are made, Unify will post the revised Terms on the Unify Platform and update the “Last Updated” date at the top of these Terms. Notice of material changes will also be provided to you via email at least 30 days before the effective date. If you disagree with the revised Terms, you have the option to terminate this agreement immediately as outlined in these Terms. Failure to terminate the agreement before the effective date of the revised Terms will constitute acceptance of the changes.

15. Resolving Complaints and Damage Claims.

​

15.1 Damage Claims.

​

If a Member provides valid evidence that you, your Buyers, damaged the complaining Member’s real or personal property, and the complaining Member seeks compensation through the Resolution Center, Unify will notify you of the Damage Claim. You will be given an opportunity to respond. If the Damage Claim is valid, Unify may collect the amount of the Damage Claim from you via Unify Payments. Unify may seek to recover from you under any insurance policies you maintain and may pursue other available remedies under applicable law, including referral to a collections agency.

15.2 Informal Dispute Resolution.

​

Before filing an arbitration, you and Unify will attempt to resolve any dispute informally. To initiate the dispute resolution process, you must send a Notice of Dispute to Unify, providing specific details about the dispute and your desired resolution. An Informal Resolution Period of 60 days will follow, during which both parties may request a settlement conference. An arbitration cannot be filed until the Informal Resolution Period has ended, and a court may enjoin the filing of an arbitration in violation of this process.

16. Unify’s Role.

​

Unify provides a platform for Members to publish, offer, search for, and book Seller Products & Services. While Unify strives to ensure positive experiences, it does not control the conduct of Buyers and Sellers. Unify has the right, but not the obligation, to monitor platform use and verify Member information. Unify may review, disable access to, remove, or edit Content for various reasons outlined in these Terms. Members agree to cooperate with Unify and provide information as needed for investigations related to platform use. Unify administers its Additional Legal Terms, Policies, and Standards at its sole discretion. Unify is not acting as an agent for any Member, except for cases where Unify Payments acts as a collection agent per the Payments Terms.

17. Member Accounts.

​

To access and use many features of the Unify Platform, you must register an account. Registration is limited to legal entities, partnerships, and individuals aged 18 or older. You confirm that you are not barred from using the Unify Platform by the laws of the United States, your place of residence, or any other applicable jurisdiction. During registration, you must provide accurate, current, and complete information and keep your account information up-to-date. Registering more than one account or transferring your account to another person is prohibited. Safeguarding the confidentiality and security of your account credentials is your responsibility, and you must not disclose your credentials to any third party. You are liable for activities conducted through your account and must promptly notify Unify if you suspect any compromise of your credentials. Unify may, as permitted by law, request identification or other information, conduct checks to verify your identity or background, screen against third-party databases, and obtain reports from public records.

18. Disclaimer of Warranties.

​

The Unify Platform and all Content are provided "as is" without warranty of any kind, and all warranties, whether express or implied, are disclaimed. Unify does not endorse or warrant the existence, conduct, performance, safety, quality, legality, or suitability of any Member, Seller, Seller Products & Service, Listing, or third party. Unify does not warrant the performance or non-interruption of the Unify Platform, and verification, identity, or background checks conducted on Listings or Members do not guarantee the identification of past or prevention of future misconduct. Statements indicating a Member or Listing is "verified" only indicate completion of a relevant verification or identification process. These disclaimers apply to the maximum extent permitted by law.

19. Limitations on Liability.

​

Unify, its affiliates, personnel, or other parties involved in creating, producing, or delivering the Unify Platform or Content will not be liable for incidental, special, exemplary, or consequential damages, including lost profits, data, or goodwill, service interruption, computer damage, system failure, or the cost of substitute products or services. This limitation applies to claims related to these Terms, use of the Unify Platform or any Content, communications, interactions, meetings, or the publication, booking, or subscription of Listings. Unify's aggregate liability for any claim or dispute under these Terms is limited to the amount paid by the Buyer or Seller during the 12-month period preceding the event giving rise to liability, or one hundred U.S. dollars (US$100) for others. These limitations are fundamental to the agreement between you and Unify, and if applicable law does not allow them, they may not apply to you.

20. Indemnification.

​

To the maximum extent permitted by applicable law, you agree to release, defend (at Unify’s option), indemnify, and hold Unify (including Unify Payments, other affiliates, and their personnel) harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees. This indemnification covers issues such as (i) your breach of these Terms, Additional Legal Terms, Policies, or Standards, (ii) improper use of the Unify Platform, (iii) interaction with any Member or participation in Seller Products & Service, including any injuries, losses, or damages arising from such interaction, stay, participation, or use, (iv) failure to accurately report, collect, or remit Taxes, or (v) breach of any laws, regulations, or third-party rights, such as intellectual property or privacy rights.

21. Contracting Entities.

​

Your contracting entity with Unify is determined based on your country of residence or establishment and your activities on the Unify Platform. Schedule 1 below outlines the Unify entity with which you are contracting. If the Unify Platform identifies a different Unify entity as responsible for a product, feature, or transaction, that identified entity becomes your contracting entity for that specific aspect. If you change your country of residence or establishment, your contracting Unify entity and the applicable version of the Terms of Products & Service will be determined by your new country of residence or establishment from the date of the change.

22. United States Governing Law and Venue.

​

If you reside or have your place of establishment in the United States, these Terms will be interpreted in accordance with the laws of the State of Kentucky and the United States of America, without regard to conflict-of-law provisions. Judicial proceedings (other than small claims actions) that are excluded from the arbitration agreement in Section 23 must be brought in state or federal court in Kentucky, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in Kentucky.

23. United States Dispute Resolution and Arbitration Agreement.

​

23.1 Application. This Arbitration Agreement applies only if your country of residence or establishment is the United States. If your country of residence or establishment is not the United States, and you attempt to bring any legal claim against Unify in the United States, this Arbitration Agreement will apply to determine the threshold issue of its applicability, along with other threshold determinations, including residency, arbitrability, venue, and applicable law.

​

23.2 Overview of Dispute Resolution Process. Unify commits to participating in a consumer-friendly dispute resolution process. These Terms outline a two-part process for individuals to whom this Section 23 applies: (1) informal negotiation with Unify’s customer Products & Service team and (2) binding arbitration administered by the American Arbitration Association (“AAA”). Both parties retain the right to seek resolution in small claims court as an alternative to arbitration.

​

23.3 Mandatory Pre-Arbitration Dispute Resolution and Notification. Before initiating arbitration, you and Unify agree to notify the other party in writing, attempting in good faith to negotiate an informal resolution at least 30 days prior to arbitration. If the dispute remains unresolved, either party may commence arbitration by filing a written Demand for Arbitration with the AAA and providing a copy to the other party.

​

23.4 Agreement to Arbitrate. Both parties mutually agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Unify Platform, Seller Products & Services, or any Content ("Disputes") will be settled by binding individual arbitration. The arbitrator will decide issues concerning the enforceability or applicability of this Arbitration Agreement.

23.5 Exceptions to Arbitration Agreement. Certain claims, such as infringement of intellectual property rights, emergency injunctive relief, requests for public injunctive relief, or individual claims of sexual assault or harassment, are exceptions to the Arbitration Agreement and may be brought in a court of competent jurisdiction.

​

23.6 Arbitration Rules and Governing Law. The arbitration will be administered by the AAA under its Consumer Arbitration Rules or other applicable rules. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

​

23.7 Modification to AAA Rules - Arbitration Hearing/Location. The arbitration hearing may be conducted at your option in the U.S. county where you reside, San Francisco County, or via phone or video conference. For amounts in controversy of $5,000 or less, the parties agree to proceed solely on the submission of documents to the arbitrator.

​

23.8 Modification of AAA Rules - Attorney’s Fees and Costs. Arbitration fees and arbitrator compensation are governed by the AAA Rules. A party may request attorneys’ fees and costs if the other party’s claim is groundless, brought in bad faith, or for harassment.

​

23.9 Arbitrator’s Decision. The arbitrator’s decision includes essential findings and conclusions and may award relief permitted by law or the AAA Rules. Declaratory or injunctive relief is awarded only on an individual basis and as necessary to provide relief warranted by the claimant’s individual claim.

​

23.10 Jury Trial Waiver. Both parties waive the right to a trial by jury for all arbitrable Disputes.

​

23.11 No Class Actions or Representative Proceedings. Both parties waive the right to participate in class actions, class-wide arbitration, private attorney general actions, or any other representative or consolidated proceedings.

​

23.12 Severability. If any portion of this Arbitration Agreement is deemed illegal or unenforceable, the remaining portion will remain in full force and effect.

​

23.13 Changes to Agreement to Arbitrate. If Unify changes this Section 23, you may reject the change by sending written notice within 30 days of the effective date. Rejection doesn't alter prior consent to earlier agreements to arbitrate.

​

23.14 Survival. This Section 23 survives any termination of these Terms and remains applicable even if you cease using the Unify Platform or terminate your Unify account.

24. Miscellaneous.

​

24.1 Other Terms Incorporated by Reference. Various policies and terms, such as Seller Damage Protection, Rebooking or subscription and Refund Policy, Content Policy, Nondiscrimination Policy, Extenuating Circumstances Policy, Additional Legal Terms, Policies, Standards, and other supplemental policies linked in these Terms, apply to your use of the Unify Platform. These are incorporated by reference and constitute part of your agreement with Unify.

24.2 Interpreting these Terms. These Terms, along with additional terms, conditions, policies, guidelines, standards, and in-product disclosures, constitute the entire agreement between you and Unify regarding your access to or use of the Unify Platform. They supersede any prior oral or written agreements between you and Unify. These Terms do not confer any rights or remedies upon anyone other than you and Unify. If any provision of these Terms is held invalid or unenforceable, such provision will be struck, and the remaining provisions will remain valid. The term "will" conveys an obligation with the same meaning as "shall."

24.3 No Waiver. Unify's failure to enforce any right or provision in these Terms will not constitute a waiver unless acknowledged and agreed to by Unify in writing. The exercise of one party's remedies under these Terms will not prejudice its other remedies under these Terms or permitted under law.

​

24.4 Assignment. You may not assign, transfer, or delegate this agreement or your rights and obligations without Unify's prior written consent. Unify may assign, transfer, or delegate this agreement and its rights and obligations at its sole discretion, with 30 days’ prior notice.

​

24.5 Notice. Notices or communications to Members will be provided electronically by Unify via email, Unify Platform notification, messaging Products & Service (including SMS), or any other contact method enabled and provided by you.

​

24.6 Third-Party Products & Services. The Unify Platform may contain links to Third-Party Products & Services subject to different terms and privacy practices. Unify does not endorse or assume liability for these Third-Party Products & Services.

​

24.7 Google Terms. Some translations on the Unify Platform are powered by Google, and your use of Google Maps/Earth is subject to Google's Additional Terms of Products & Service.

​

24.8 Apple Terms. If you access or download the Unify application from the Apple App Store, you agree to Apple’s Licensed Application End User License Agreement.

​

24.9 Unify Platform Content. Content on the Unify Platform is protected by intellectual property laws. You acknowledge that all intellectual property rights for that Content belong to Unify and/or its licensors. You agree not to remove, alter, or obscure any copyright, trademark, Products & Service mark, or other proprietary rights notices. Unify grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to use the Application and access/view Content for personal, non-commercial use.

​

24.10 Force Majeure. Unify is not liable for delays or failures to perform due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, governmental actions, fire, floods, accidents, pandemics, epidemics, strikes, or shortages.

​

24.11 Emails and SMS. Administrative communications from Unify will be sent to the email or contact information provided for your Unify account. You may also receive promotional emails, and if you consent to receive SMS, you are subject to Unify's SMS Terms.
